Terms of Service
Draft prepared October 17, 2026 · Not yet in effect
Who we are and what this covers
AGM (“AGM,” “we,” “us”) is an AI assistant general manager for restaurants, run by Stir Hospitality, whose owners are Joe Ryan and Jeremy Miller, at 2309 Lime Tree Dr, Edgewater, FL 32141.
These Terms are the agreement between us and the restaurant that signs up (“you”). By ticking “I agree” when you create an account, or by using AGM, you agree to these Terms and to our Privacy Policy. If you sign up for a restaurant, you promise you have the authority to do that for the business.
[Attorney: confirm the exact legal name and entity type of the company that offers AGM.]
What AGM does
AGM reads the numbers you connect or enter (sales, labor, bills, inventory, reviews and so on) and gives you a daily brief, schedules, ordering help, reports and drafts, in plain English. Numbers are labelled as facts, calculations, estimates or missing so you can see how much to trust them.
You stay in charge. AGM is built so that paying a bill, publishing a post, replying to a review, or sending a message to your guests happens only after an owner approves it. AGM records who approved what and when. AGM never moves money on its own.
Accounts, roles and your team
Anyone can sign up a restaurant. The person who creates the account is the owner. You are responsible for what happens under your account, for keeping passwords private, and for the people you invite.
AGM has three roles:
- Owner — full access, including bills, payments approvals, books, connections and billing.
- Manager — runs scheduling and the team. No access to bills, pay, P&L, bank, connections or account settings.
- Employee — limited access: their own schedule, time clock and inventory counts. No wages for anyone else, and no money screens.
You must be at least 18 to create an account. Give us accurate information and keep it up to date.
Connecting other services
You can connect third-party accounts (for example your POS, scheduling, distributors, bank or accounting software) by signing in yourself in a browser session. AGM does not ask you to type, and does not store, your passwords for those services. Where an integration needs a key or token, we store it encrypted.
You are responsible for having the right to connect those accounts and for following their terms. We are not responsible for those services, or for changes they make that affect AGM.
Price, billing and cancelling
AGM has three plans, each priced per month per restaurant, plus any taxes that apply: Starter $299, Pro $599 and Plus $999. Multiple locations on one account are available on the Plus plan only; each additional location is 20% off the Plus price. Starter and Pro cover one location. The optional Stir Consulting add-on is $500 per month on any plan, with a 3-month minimum; it includes 2 hours of consultant time each month (unused hours do not roll over), and additional hours are $185 per hour. What each plan includes is shown on the plan comparison in the app and on our website.
Automatic renewal. AGM is month to month. It renews automatically each month at the then-current price until you cancel. You can cancel at any time by emailing team@stirhospitality.com or calling 1-800-858-2488; cancellation takes effect at the end of the month you have already paid for. We do not refund part of a month already started unless the law requires it.
We will tell you the billing start date and how you will pay before we charge you anything. We will give you at least 30 days’ notice before changing the price.
[Attorney: billing mechanics, payment processor, free-trial or setup terms, refund and auto-renewal disclosures required by Florida and other states have not been finalized.]
Your data and what we may do with it
Your restaurant’s data stays yours. You give us permission to store it and use it to run AGM for you: to produce your brief and reports, send messages you approve, make backups, keep the service secure, and fix problems.
Each restaurant’s data is kept separate from other restaurants’ data. Our Privacy Policy explains what we collect, who helps us run AGM, and your choices.
Your team’s information. You may enter information about your employees (names, contact details, schedules, time punches, pay rates). You promise you are allowed to do that, and that you will handle it as the employer according to the law. Employees use AGM with limited access.
AI-written drafts
AGM uses rule-based software by default. If we turn on an optional third-party AI model, it may help draft answers, review replies and captions. When that happens, the text needed for the task (for example a review or a question you typed, and the facts needed to answer) may be sent to the AI provider, with passwords, keys and card-like numbers removed first.
AI can be wrong. Read every draft before you approve it. You are responsible for what you approve, post or send.
Numbers, estimates and compliance warnings
AGM is a management aid. It is not an accountant, tax adviser, payroll provider, lawyer or HR professional. Forecasts and estimates are guesses from your past data. Warnings about overtime, minors or other labor rules are reminders only and may be incomplete. You remain responsible for your books, taxes, payroll, food safety, alcohol rules and employment law.
Email and text messages
AGM sends email through Resend and text messages through Twilio. We may message you about your account, your daily brief, bill reminders and reports. Text message and data rates may apply; reply STOP to opt out of texts.
If you use AGM to message your guests, you are the sender. You must have the guest’s permission (opt-in) before texting or emailing them, include opt-out language, and follow the law (including the Telephone Consumer Protection Act and CAN-SPAM). AGM includes STOP handling, but compliance is your responsibility.
Using AGM properly
Please don’t:
- break the law or someone else’s rights;
- try to get into another restaurant’s data or break AGM’s security;
- upload malicious code or overload the service;
- resell AGM or copy it to build a competing product;
- share your login, or let someone use a role they should not have.
We may suspend an account that puts the service or other customers at risk. We will tell you why when we can.
Availability and changes
We work to keep AGM running, but we do not promise it will always be available or error-free. We may change features. We may update these Terms; if the change matters, we will tell you by email or in the app before it takes effect. If you keep using AGM after the effective date, you accept the update.
Ending the agreement
You can cancel at any time (see Price, billing and cancelling). After you cancel, you can ask for a copy of your data for 30 days; after that we may delete it, subject to the retention notes in the Privacy Policy. We may end the agreement if you break these Terms or don’t pay, or if we stop offering AGM (we will give notice and a prorated refund of any prepaid month in that case).
[Attorney: confirm data-return and deletion windows.]
Warranty and liability
AGM is provided “as is.” To the fullest extent the law allows, we disclaim all warranties, including that AGM will be accurate, uninterrupted or fit for a particular purpose.
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential losses (such as lost profits, lost sales or business interruption). Our total liability for any claim related to AGM is limited to the amount you paid us in the 12 months before the claim.
Some places do not allow certain limits, so parts of this section may not apply to you. Nothing here limits liability that cannot be limited by law.
[Attorney: review disclaimers, cap amount, exclusions, and enforceability under Florida law.]
If something goes wrong because of you
You agree to cover our reasonable losses from claims caused by your misuse of AGM, the content you put into it, or your violation of these Terms or the law (for example, texting guests without permission).
[Attorney: review indemnity scope.]
Florida law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Before filing a claim, please contact us at team@stirhospitality.com so we can try to fix it. Any lawsuit must be brought in the state or federal courts located in Volusia County, Florida, and you and we agree to those courts.
[Attorney: confirm venue, whether to add arbitration or a jury waiver, and a class-action position, if desired.]
The small print
These Terms, the Privacy Policy and any order or price agreement we give you are the whole agreement. If one part is found unenforceable, the rest stays in effect. If we don’t enforce a right right away, we haven’t given it up. You may not transfer your account without our written permission; we may transfer ours as part of a sale or reorganization.
